Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website brandpoint.life and the branding, creative, content marketing, SEO, social media services, and educational programmes offered by BrandPoint Life (UEN 202947528K), a company registered in Singapore with its office at 150 Orchard Road #08-01, Orchard Gateway @ Emerald, Singapore 238841. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Definitions

  • "BrandPoint", "we", "us", "our": BrandPoint Life and its employees, contractors, and affiliates.
  • "Client", "you", "your": Any individual or organisation that accesses our website, submits enquiries, enrols in programmes, or enters into a service agreement with us.
  • "Services": Brand strategy, creative direction, content marketing, SEO, social media management, analytics, and related consulting deliverables.
  • "Programmes": Structured educational offerings designated BP-101 through BP-601.
  • "Deliverables": Work product created by BrandPoint for Clients under a service agreement, including strategies, designs, content, reports, and guidelines.
  • "Statement of Work" or "SOW": A written document specifying scope, timeline, fees, and deliverables for a particular engagement.

2. Website Use

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable laws or regulations in Singapore or your jurisdiction.
  • Attempt to gain unauthorised access to our systems, servers, or networks.
  • Transmit viruses, malware, or other harmful code.
  • Scrape, crawl, or harvest data from the website without our prior written consent.
  • Impersonate BrandPoint Life or any of its representatives.
  • Use automated tools to submit contact forms or generate spam enquiries.
  • Reproduce, distribute, or create derivative works from website content without permission, except for personal, non-commercial reference.

We reserve the right to suspend or terminate access to the website for violations of these Terms without prior notice.

3. Service Engagements

Specific services are governed by individual Statements of Work or service agreements that supplement these Terms. In the event of conflict between these Terms and a signed SOW, the SOW prevails for that engagement. General provisions include:

  • All proposals are valid for thirty days unless otherwise stated.
  • Engagements commence upon signed agreement and receipt of any required deposit.
  • Clients shall provide timely access to information, assets, stakeholders, and approvals necessary for project delivery.
  • Delays caused by Client non-responsiveness may extend timelines and may incur additional fees.
  • BrandPoint will assign qualified personnel but reserves the right to substitute team members of equivalent skill.

4. Programmes

Enrolment in BrandPoint programmes (BP-101 through BP-601) is subject to availability and acceptance. Programme fees, schedules, and materials are specified at enrolment. Participants agree to attend sessions, complete assignments, and respect intellectual property of programme content. BrandPoint reserves the right to modify programme curricula to reflect industry developments. Refund policies are communicated at the time of enrolment and vary by programme tier.

5. Fees and Payment

Fees for services and programmes are quoted in Singapore Dollars (SGD) unless otherwise agreed. Payment terms are specified in the SOW or enrolment confirmation. Standard terms require a fifty percent deposit before work commences, with the balance due upon delivery or according to milestone schedules. Late payments may incur interest at one percent per month. BrandPoint may suspend work on overdue accounts after fourteen days written notice. All fees are exclusive of GST unless stated otherwise; applicable taxes will be added to invoices.

6. Intellectual Property

6.1 Client Materials

Clients retain ownership of materials, logos, content, and data provided to BrandPoint for project purposes. Clients grant BrandPoint a non-exclusive licence to use such materials solely for delivering the agreed services.

6.2 Deliverables

Upon full payment, Clients receive ownership of final approved deliverables as specified in the SOW. BrandPoint retains ownership of pre-existing tools, templates, methodologies, and general know-how used in creating deliverables. BrandPoint may display completed work in its portfolio and marketing materials unless the Client requests confidentiality in writing before project commencement.

6.3 Website Content

All content on brandpoint.life — including text, graphics, logos, images, and software — is owned by BrandPoint Life or its licensors and protected by copyright and trademark laws.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during engagements. Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties without restriction. Confidentiality obligations survive termination of the engagement for three years.

8. Warranties and Disclaimers

BrandPoint warrants that services will be performed with reasonable skill and care consistent with industry standards. Except as expressly stated, services and website content are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will achieve specific business outcomes, search engine rankings, social media follower counts, revenue targets, or lead volumes. Marketing and branding results depend on numerous factors beyond our control including market conditions, competitive activity, Client execution, and budget allocation.

9. Marketing Disclaimer

Information on our website regarding branding, creative strategy, content marketing, SEO, and social media is provided for general informational and educational purposes. It does not constitute professional, legal, financial, or investment advice. Case studies, testimonials, and performance metrics represent past experiences of specific clients and are not guarantees of future results. Individual outcomes vary based on industry, budget, team capacity, market timing, and implementation quality. BrandPoint Life expressly disclaims any guarantee of specific rankings, traffic levels, conversion rates, or revenue increases. Clients should conduct their own due diligence and consult appropriate professionals before making business decisions.

10. Limitation of Liability

To the maximum extent permitted by Singapore law, BrandPoint Life shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to these Terms, the website, or our services, regardless of the theory of liability.

Our total aggregate liability for any claim arising from a specific engagement shall not exceed the fees paid by the Client for that engagement in the twelve months preceding the claim. This limitation does not apply to liability arising from fraud, wilful misconduct, or death or personal injury caused by negligence.

11. Indemnification

You agree to indemnify and hold harmless BrandPoint Life, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the website, your violation of any third-party rights, or materials you provide to us that infringe intellectual property or other rights of third parties.

12. Termination

Either party may terminate a service engagement in accordance with the termination provisions in the applicable SOW. BrandPoint may terminate website access immediately for breach of these Terms. Upon termination, Client shall pay for all work completed up to the termination date. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, pandemics, government actions, power failures, internet disruptions, or civil unrest. The affected party shall notify the other promptly and use reasonable efforts to resume performance.

14. Privacy

Our collection and use of personal data is governed by our Privacy Policy and Singapore's Personal Data Protection Act. By using our website and services, you acknowledge that you have read and understood our Privacy Policy.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

16. General Provisions

  • Entire agreement: These Terms, together with applicable SOWs and policies, constitute the entire agreement between the parties regarding website use and general service conditions.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: Clients may not assign their rights or obligations without our prior written consent. BrandPoint may assign its rights to an affiliate or successor in a corporate transaction.
  • Notices: Notices to BrandPoint shall be sent to [email protected] or our registered address. Notices to Clients shall be sent to the email address on file.

17. Changes to Terms

We may update these Terms from time to time. The "Last updated" date indicates the most recent revision. Material changes will be posted on this page. Continued use of the website after changes constitutes acceptance of the revised Terms. For active engagements, changes apply upon renewal or new SOW execution.
